Agreement to these Terms

PomeloKit (the “Service”) is provided by MOE RESEARCH Co., Ltd. (“PomeloKit,” “we,” “us,” or “our”). These Terms of Service (the “Terms”) apply to the PomeloKit mobile, watch, desktop, and web applications, and to any related websites, software, and features we offer.

By creating an account, downloading the app, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use PomeloKit. If you are using PomeloKit on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Who may use PomeloKit

You must be at least 16 years old (or the age of digital consent in your country, if higher) to use PomeloKit. By using the Service, you represent that you meet this requirement and that you are not barred from using the Service under the laws of your jurisdiction.

Your account

You can sign in to PomeloKit using Sign in with Apple, Google, or a one-time email code. You are responsible for keeping your account credentials and devices secure and for all activity that occurs under your account.

• Provide accurate information and keep it up to date.
• Do not share your account or let others access the Service through it.
• Notify us promptly at support@pomelokit.com if you believe your account has been compromised.

The PomeloKit service

PomeloKit records audio, generates transcripts with speaker labels, and produces AI summaries, action items, and highlights from your conversations and meetings. Features may be added, changed, or removed over time, and some features may be offered as beta or experimental functionality that can behave unpredictably.

Plans, billing, and free usage

PomeloKit offers a free tier with a limited number of meetings each month, as well as paid subscription plans with additional usage and features.

• Subscriptions. Paid plans are billed in advance on a recurring basis and renew automatically until cancelled. Where you purchase through the Apple App Store, billing, renewals, and refunds are handled by Apple under its terms.
• Cancellation. You may cancel at any time. Your plan remains active until the end of the current billing period, and we do not provide pro-rated refunds except where required by law.
• Taxes and changes. Prices may exclude applicable taxes. We may change pricing on a going-forward basis with reasonable notice.

Recording and consent

PomeloKit is a tool that records and processes audio at your direction. You — not PomeloKit — decide what to record and who is present. You agree not to use the Service to record anyone unlawfully, to conduct covert surveillance, or in any way that violates the rights of others.

Your content

“Your Content” means the audio you record and upload, and the transcripts, summaries, notes, and other materials generated from it or created by you within the Service. As between you and PomeloKit, you own Your Content.

To operate the Service, you grant us a limited, worldwide, non-exclusive license to host, store, process, transmit, transcribe, summarize, and display Your Content solely to provide and maintain the Service for you, and to do so through the service providers described in our Privacy Policy. We do not sell Your Content, and we do not use the substance of your recordings or transcripts to train generally available AI models. We may use aggregated or de-identified data that does not identify you or any individual to operate and improve the Service.

Acceptable use

When using PomeloKit, you agree that you will not:

• Break the law, infringe intellectual property or privacy rights, or record people without the consent the law requires.
• Upload malware, attempt to gain unauthorized access, or interfere with, disrupt, or overload the Service or its infrastructure.
• Reverse engineer, scrape, or resell the Service, or use it to build a competing product, except where this restriction is prohibited by law.
• Use the Service to store or distribute unlawful, harassing, or abusive content, or to harm others.
• Circumvent usage limits, access controls, or any measures we use to protect the Service.

AI features and accuracy

Transcripts, summaries, action items, and other outputs are generated automatically by machine-learning systems. They may contain errors, omissions, or inaccuracies, including incorrect speaker attribution. You should review outputs before relying on them.

PomeloKit outputs are not legal, medical, financial, or other professional advice, and should not be treated as a verbatim or certified record. You are responsible for how you use them.

Third-party services

PomeloKit may let you connect or interact with third-party services, such as sign-in providers, calendars, and other tools. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services and do not endorse them, and your dealings with them are solely between you and the relevant provider.

Intellectual property

The Service, including its software, design, branding, the “PomeloKit” name, the Pomi mascot, and all related intellectual property, is owned by MOE RESEARCH Co., Ltd. or its licensors and is protected by law. We grant you a limited, revocable, non-transferable license to use the Service for its intended purpose, subject to these Terms. All rights not expressly granted are reserved.

If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction or obligation to you.

Privacy

Our Privacy Policy explains what information we collect, how we use and share it, and the choices and rights you have. By using PomeloKit, you acknowledge the practices described there.

Termination

You may stop using PomeloKit and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. We may also discontinue the Service or any part of it with reasonable notice where practicable.

On termination, your right to use the Service ends. Sections that by their nature should survive — including content ownership, disclaimers, limitations of liability, and indemnification — will continue to apply.

Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that transcripts and summaries will be accurate or complete.

Limitation of liability

To the maximum extent permitted by law, PomeloKit and MOE RESEARCH Co., Ltd. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or recordings, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us for the Service in the twelve months before the claim, or USD 100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

Indemnification

You agree to indemnify and hold harmless MOE RESEARCH Co., Ltd. and its officers, employees, and agents from any claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your recording of others, or your violation of these Terms or any law or third-party right.

Changes to the service and these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of PomeloKit after changes take effect means you accept the updated Terms.

Governing law and disputes

These Terms are governed by the laws of the Kingdom of Thailand, without regard to conflict-of-laws rules, and the courts located in Thailand will have jurisdiction over any dispute, unless mandatory local law in your place of residence provides otherwise. Nothing in these Terms limits any consumer-protection rights you may have that cannot be waived by agreement.

General terms

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
• Severability. If any provision is found unenforceable, the rest remains in effect.
• No waiver. Our failure to enforce a provision is not a waiver of it.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
